Terms of Service
These Terms of Service govern your use of the AutoChain platform. AutoChain is a business-to-business (B2B) service, it is intended solely for use by businesses (such as garages and automotive workshops), not individual consumers. By creating an account or using our services, you confirm you are acting in the course of a business and agree to these terms. Please read them carefully. AutoChain Limited is a company registered in England and Wales.
1. Acceptance of Terms
By accessing or using AutoChain's services, you confirm you are at least 18 years old, have the authority to enter into a binding agreement, and agree to comply with these Terms and our Privacy Policy. If you are using AutoChain on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Service
AutoChain provides a cloud-based garage management platform including job management, customer records, invoicing, vehicle history, and related features. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
3. Account Registration
To use AutoChain, you must register and create an account. You agree to provide accurate and complete information, keep your account credentials secure, notify us immediately of any unauthorised access, and be responsible for all activity under your account.
4. Subscription and Payments
AutoChain operates on a monthly subscription model. By subscribing, you authorise us to charge your payment method on a monthly basis. Prices are inclusive of VAT where applicable. AutoChain Limited is VAT registered (GB 516 2711 13). We reserve the right to change pricing with 30 days' notice.
5. Free Trial
We may offer a free trial period. At the end of the trial, you will be charged for the subscription unless you cancel. We reserve the right to modify or terminate free trial offers at any time.
6. Cancellation and Refunds
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. We do not offer pro-rata refunds for partial billing periods. As AutoChain is a B2B service, the Consumer Contracts Regulations 2013 cooling-off rights do not apply. However, as a goodwill gesture, if you cancel within 14 days of your first paid subscription and have not actively used the platform beyond initial account setup, we will consider refund requests on a case-by-case basis, contact support@autochain.co.uk.
7. Acceptable Use
You agree not to use AutoChain to violate any laws or regulations, upload false or fraudulent data, attempt to gain unauthorised access to any part of the platform, reverse-engineer, copy, or create derivative works, use the service to compete with AutoChain, send spam or unsolicited communications, or interfere with the service's integrity or performance.
8. Data and Privacy
Your use of AutoChain is also governed by our Privacy Policy, which is incorporated into these Terms. You retain ownership of your data. By using AutoChain, you grant us a limited licence to store and process your data solely to provide and improve the service. You are responsible for ensuring you have appropriate authorisation to submit any third-party data (including customer vehicle records) to the platform.
9. Data Protection Responsibilities
If you are a garage using AutoChain to manage your customers' data, you are the data controller for that customer data and AutoChain acts as a data processor on your behalf. UK GDPR Article 28 requires a written Data Processing Agreement (DPA) to be in place between a controller and processor. By accepting these Terms, you enter into such an agreement with AutoChain. Our obligations as your data processor include: processing data only on your documented instructions; ensuring appropriate security measures; not engaging sub-processors without your authorisation (or prior general authorisation as set out in our Privacy Policy); assisting you in responding to data subject rights requests; and notifying you of any personal data breaches without undue delay.
You remain responsible for ensuring you have a lawful basis to process your customers' personal data and that your use of AutoChain complies with UK GDPR and the Data Protection Act 2018.
10. Intellectual Property
All intellectual property in the AutoChain platform, including software, design, logos, and content, is owned by AutoChain Limited. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose. You may not copy, distribute, or create derivative works from our intellectual property without express written consent.
11. Third-Party Services
AutoChain integrates with third-party services (such as payment processors and DVLA data). We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of integrated services is subject to their own terms and privacy policies.
12. Disclaimer of Warranties
AutoChain is provided "as is" and "as available". While we strive for a high-quality service, we do not warrant that the service will be uninterrupted, error-free, or completely secure. We disclaim all implied warranties to the fullest extent permitted by law.
13. Limitation of Liability
To the fullest extent permitted by English law, AutoChain's total liability to you for any claims arising from or related to these Terms or the service shall not exceed the amount you paid us in the three months prior to the event giving rise to the claim. We are not liable for indirect, consequential, incidental, or special damages including loss of profits or data.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
14. Indemnification
You agree to indemnify and hold harmless AutoChain Limited, its directors, employees, and agents from and against any claims, damages, costs, and expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.
15. Termination
We may suspend or terminate your account immediately if you materially breach these Terms, engage in illegal activity, or cause harm to the platform or other users. Upon termination, your right to use the service ceases immediately. You may request an export of your data within 30 days of termination.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the platform at least 30 days before they take effect. Continued use of the service after changes constitute acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
